Terms and Conditions

These Terms of Service ("Terms") govern access to and use of the Evalion website, platform, APIs, and related services offered by Voice Eval Systems, Inc. dba Evalion ("Evalion," "we," "us," or "our"). By using the Services, creating an account, or executing an order form, work order, SOW, or similar document that references these Terms (each, an "Order"), you agree to these Terms.

If you are agreeing on behalf of a company or other entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Services.

1) Definitions

Customer means the entity or person that accepts these Terms or signs an Order.

Services means Evalion's software platform, testing and monitoring tools for conversational agents, dashboards, APIs, documentation, SDKs, websites, and support.

2) Services & Accounts

Subject to these Terms and payment of applicable fees, Evalion grants Customer a non-exclusive, non-transferable right to access and use the Services during the term. Customer is responsible for its users' compliance with these Terms and for maintaining the security of its account credentials.

3) Customer Data & Content

Customer retains ownership of data and content it submits to the Services ("Customer Data"). Customer grants Evalion the rights necessary to provide the Services, including to process, store, and analyze Customer Data. Customer is responsible for ensuring it has the right to submit Customer Data and that such data complies with applicable laws.

4) Acceptable Use

Customer will not: (a) use the Services for unlawful purposes; (b) attempt to access or interfere with systems or data not intended for Customer; (c) reverse engineer the Services; or (d) use the Services in a way that could harm Evalion or third parties.

5) Fees & Payment

Customer will pay fees as specified in an Order or on Evalion's pricing page. Fees are due within 30 days of invoice unless otherwise specified. Late payments may incur interest. All fees are non-refundable except as required by law.

6) Term & Termination

These Terms begin when Customer first uses the Services and continue until terminated. Either party may terminate for material breach after 30 days' notice and opportunity to cure. Evalion may suspend access for non-payment or violations of these Terms.

7) Intellectual Property

Evalion retains ownership of the Services and related IP. Customer may not use Evalion's trademarks without permission. These Terms do not transfer ownership of either party's IP to the other.

8) Disclaimers & Limitations

THE SERVICES ARE PROVIDED "AS IS." EVALION DISCLAIMS WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW. EVALION'S LIABILITY IS LIMITED TO THE FEES PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM.

9) Privacy & Security

Evalion's processing of personal data is governed by our Privacy Policy. Evalion implements reasonable security measures but cannot guarantee absolute security.

10) Governing Law

These Terms are governed by Delaware law, excluding conflict of law principles. Disputes will be resolved in Delaware state or federal courts.

11) Changes to Terms

Evalion may update these Terms. Material changes will be communicated in-product or by email to account owners, and the "Last updated" date will be revised.
